Software Licence Agreement

Dragon Systems Software Limited – Software Licence Agreement

Please read this software licence agreement carefully before using the software. By using the software, you are agreeing to be bound by the terms of this licence. If you do not agree to the terms of this licence, promptly remove this software from your computer and associated media.

This licence incorporates both the demonstration edition and licensed edition of Power Manager and its associated package. Unless otherwise stated this licence refers to all editions of Power Manager and its associated package.

In consideration of the payment of the licence fee, which is part of the price you pay for Power Manager and its associated package, Dragon Systems Software Limited, as licencer, grants to you, as licencee, a non-exclusive right to use and display this copy of the software on a single computer (i.e., a single CPU) at one location at any time.

Dragon Systems Software Limited, as licencer, grants to you a free 30 day licence to use and display Power Manager Demonstration Edition and its associated package, after which time said package must be licensed with Dragon Systems Software Limited with appropriate compensation and documentation. Under no circumstances may the software be used beyond the free 30 day licensing period unless previously stated conditions have been satisfied. You must purchase a separate copy of the package for each CPU it is used on.

You expressly acknowledge and agree that use of the Dragon Systems Software Limited is at your sole risk. Power Manager and its associated package is provided “AS IS” and without warranty of any kind. The publisher specifically disclaims warranties of fitness for a particular purpose and merchantability.

Dragon Systems Software Limited is not responsible for any damage to the user’s computer system or data and in no event will Dragon Systems Software Limited, its officers, directors, employees or agents be responsible to the user for any consequential, incidental, or indirect damages (including damages for loss of business profits, business interruption, loss of business information and the like) arising out of the use or inability to use the Dragon Systems Software Limited product, even if Dragon Systems Software Limited has been advised of the possibility of such damages.

Unless explicitly stated in writing Dragon Systems Software Limited does not grant permission to distribute the software for profit in any form, including but not limited to, electronic distribution service distribution, bulletin board distribution, and magnetic or optical medium distribution.

Non-profit distribution of the demonstration edition of the software is acceptable without prior written notice, providing that the software is not modified in any way, and the complete works of the software are included in the distribution package.

The software and its associated documentation are licensed, not sold, to you for use only under the terms of this licence, and Dragon Systems Software Limited reserves all rights not expressly granted to you in this license. Dragon Systems Software Limited retains the title to the software and its associated documentation, and all intellectual property rights therein.

The above are the only warranties of any kind, either express or implied, that are made by publisher on the software. No oral or written information or advice given by Dragon Systems Software Limited, its officers, directors, employees or agents shall create a warranty or in any way increase the scope of this warranty, and you may not rely upon such information or advise.

This licence is effective until terminated. You may terminate this licence at any time by destroying all copies of the software and related documentation in your possession or control. This licence will terminate immediately without notice from Dragon Systems Software Limited if you fail to comply with any provision of this licence. Upon termination you must destroy all copies of the software and its associated documentation in your possession or control.

This agreement shall be governed by the laws of the United Kingdom. If for any reason a court of competent jurisdiction finds any provision of the Agreement, or portion thereof, to be unenforceable, that provision of the Agreement shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect.
